Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DayXero platform operated by DayXero ("we", "us", "our"). By creating an account or using DayXero, you agree to these Terms. If you do not agree, do not use the platform.

1. The platform

DayXero is a marketplace that facilitates the listing, discovery, and acquisition of pre-revenue software assets. We provide tools for valuation (DX Score), secure data rooms, NDA management, offer submission, and escrow-based transactions. DayXero is a technology platform and is not a party to any transaction between buyers and sellers.

2. Accounts

You must be at least 18 years old to create an account. You are responsible for all activity that occurs under your account. You agree to provide accurate information and keep your credentials secure. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Sellers

Listing requirements

By submitting a listing, you represent that: (a) you are the rightful owner of the listed asset or are authorised to sell it; (b) the asset is free of undisclosed liens, encumbrances, or third-party claims; (c) all information in your listing is accurate and not misleading; and (d) you own or have full rights to all intellectual property described.

Listing approval

All listings are subject to review before going live. We reserve the right to reject or remove any listing at our sole discretion. Listings that pass all IP checks may receive a Clean IP badge; this badge is informational only and does not constitute a legal warranty.

Platform fee

On successful completion of a transaction, DayXero charges a 6% platform fee deducted from the agreed sale price before escrow release. There are no fees to list. The platform fee is non-refundable once escrow is released.

4. Buyers

Buyers may browse listings freely. Accessing a private data room requires signing a click-to-sign NDA that is binding and specific to each listing. Submitting an offer does not create a binding obligation until both parties have agreed on terms and escrow is funded.

5. Offers and deals

Offers submitted through DayXero are non-binding proposals until the seller accepts and the buyer funds escrow. An accepted offer is not a completed transaction. Either party may withdraw before escrow is funded. Once escrow is funded, withdrawal is governed by Escrow.com's dispute and release policies.

6. Escrow

Transactions on DayXero use Escrow.com as the escrow provider. By initiating a transaction, both parties agree to Escrow.com's terms of service and are subject to its identity verification requirements. DayXero has no control over and is not responsible for Escrow.com's services, policies, or decisions. Escrow funds are released only after all three transfer milestones — IP assignment, domain transfer, and code repository transfer — are confirmed by both parties.

7. NDAs and data rooms

Data rooms contain confidential seller information. By signing an NDA, buyers agree not to disclose, reproduce, or share any information accessed in a data room. NDAs are binding regardless of whether a transaction is completed. Violation of an NDA may result in account termination and legal action.

8. Prohibited conduct

You agree not to: list assets you do not own or have the right to sell; submit false or misleading information; attempt to conduct transactions outside of DayXero to circumvent platform fees; use the platform for money laundering, fraud, or any unlawful purpose; scrape or systematically access the platform without permission; or interfere with the integrity of the marketplace.

9. Intellectual property

DayXero and its features, branding, and content are owned by DayXero and protected by intellectual property law. You retain ownership of content you submit (listings, messages, documents). By submitting content, you grant DayXero a non-exclusive licence to display and use it to operate the platform.

10. Disclaimers

DayXero is provided "as is" without warranties of any kind. We do not warrant that the platform will be uninterrupted, error-free, or that any listing, valuation, or DX Score is accurate. See our Disclaimer for full details on DX Score and valuation limitations.

11. Limitation of liability

To the maximum extent permitted by law, DayXero's total liability to you for any claims arising from your use of the platform shall not exceed the greater of: (a) the fees paid by you to DayXero in the 12 months preceding the claim, or (b) $100. We are not liable for indirect, incidental, consequential, or punitive damages.

12. Governing law

These Terms are governed by the laws of [jurisdiction]. Any disputes shall be resolved through binding arbitration under [arbitration rules], except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms. We will provide reasonable notice of material changes.
